Vetta Terms of Service

These Terms of Service govern your access to and use of the platform, applications, and services operated by Vetta, Inc. By registering an account, opting into a candidate pool, unlocking talent, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.
1. Definitions
  • Service means the platform, software, APIs, algorithms, and website hosted at getvetta.ai and operated by Vetta, Inc.
  • Candidate means an individual registered on the platform to explore career opportunities through algorithmic matching.
  • Employer means an organization, company, or individual accessing the Service to evaluate talent, discover matches, or conduct interviews.
  • Employer Admin means an authorized user managing an Employer workspace.
  • Personally Identifiable Information (PII) means data that identifies an individual directly, including full legal name, email address, physical address, phone number, personal portfolio links, and specific contact details.
  • Blinded Profile means candidate profile information with all PII, direct company identifiers, and contact methods redacted or omitted.
  • Unlock means the platform transaction or credit used by an Employer to reveal a Candidate's non-PII resume and qualifications.
  • Problem Statement means internal business context, operational challenges, project goals, and constraints submitted by an Employer.
  • Active Candidate Pool means the weekly cohort of Candidates who have affirmatively opted in to be evaluated by the matching algorithm for that cycle.
  • Verified Candidate means a Candidate who has completed optional identity verification through Stripe Identity and has been awarded the corresponding verification badge.
2. Account Registration and Status

You must provide accurate, current, and complete information during registration and keep your account details updated. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify Vetta immediately of any unauthorized account activity or security breach.

3. Progressive Disclosure Architecture and Platform Mechanics

The Service operates on a staged, progressive disclosure framework to ensure privacy and objective discovery.

No Application Marketplace and Weekly Opt-In

  • No Job Applications: The Service does not operate a traditional job board or direct application model. Candidates do not apply to individual job postings.
  • Weekly Opt-In Requirement: Candidates are included in matching evaluations only if they affirmatively opt into the Active Candidate Pool for a given weekly cycle. Inactive candidates or those who do not opt in for the cycle are excluded from matching.
  • Algorithmic Proximity Matches: Matches and Match Scores are generated strictly through mathematical vector proximity between Candidate experience embeddings and Employer role embeddings.
  • Non-Searchable Directory: Candidate profiles and resumes are not publicly searchable, browseable, indexable, or scrapable by any party.

Candidate Disclosure Stages

  • Stage 1 (Algorithmic Match): When an embedding proximity match occurs between an opted-in Candidate and an Employer role, the Employer receives access strictly to a Blinded Profile.
  • Stage 2 (Candidate Unlock): Applying an Unlock provides the Employer access to the Candidate's detailed resume, with all PII redacted.
  • Stage 3 (Interview Selection): Candidate PII and Candidate-provided calendar availability are disclosed to the Employer only after the Employer matches with the Candidate, applies an Unlock, and formally selects the Candidate for an interview.
  • Scheduling Coordination: Candidate availability shared on the platform is provided strictly for interview scheduling and does not constitute a binding employment offer or contract.

Employer Disclosure Stages

  • Non-Searchable Job Posts: Employer job postings and role specifications are not publicly searchable or indexable.
  • Job Post Reveal: Public job post details are revealed to a Candidate only after that Candidate has been matched, unlocked, and selected for an interview by the Employer.
  • Problem Statement Confidentiality: Employer Problem Statements are confidential and visible exclusively to the authoring Employer user, authorized Employer Admins, and Vetta's automated matching algorithms.
  • Employer Contact Privacy: Vetta will not disclose or display direct Employer email addresses to Candidates. Initial interactions occur through the platform interface.
4. Artificial Intelligence Processing and Algorithmic Disclaimers

Vetta utilizes enterprise machine learning models and Large Language Model (LLM) APIs to facilitate vector matching and role parsing.

  • Candidate Embeddings: Candidate work history and skill data are converted into mathematical vector embeddings solely for matching purposes. No Candidate PII is transmitted to or processed by external LLMs.
  • Job Post Analysis: Employer job posts and role specifications are processed by LLMs to identify root problems, operational goals, success criteria, and vector embeddings.
  • Model Training Protections: Data transmitted to AI sub-processors is processed via private, commercial enterprise APIs. Your data is not sold, retained, or utilized by third parties to train public foundational AI models.
  • Algorithmic Transparency Notice: The Service evaluates candidates solely by converting candidate-submitted experience and employer-submitted problem statements into mathematical vector embeddings to measure semantic proximity. Candidates receive matching consideration only during weekly cycles for which they have explicitly opted in.
  • Nature of Match Scores: Match scores represent algorithmic vector proximity. They do not constitute an endorsement, psychological evaluation, formal credential verification, or assessment of competence. Employers retain sole responsibility for evaluating candidate qualifications, verifying credentials, and making independent hiring decisions in compliance with applicable labor laws.
  • Automated Employment Decision Tools (AEDT) and Employer Responsibility: Match scores serve strictly as an objective discovery metric. The Service does not make final employment decisions, reject candidates automatically from employment, or replace human judgment in hiring. If an Employer operates in a jurisdiction regulating Automated Employment Decision Tools (AEDTs) or artificial intelligence in hiring, the Employer assumes sole legal responsibility for meeting all local statutory notices, reporting, job posting disclosures, and bias audit obligations associated with their hiring workflows.
5. Candidate Identity Verification and Anti-Fraud Standards

Vetta integrates with Stripe Identity to offer optional candidate identity verification.

  • Voluntary Verification: Candidate identity verification is optional. Candidates who choose to verify their identity submit government-issued identification and a live selfie directly to Stripe Identity for automated verification.
  • Candidate Authenticity Warranties: When submitting identification for verification, Candidates represent and warrant that all documentation provided is genuine, valid, unexpired, and legally issued in their own name, and that any selfie captured represents their own likeness. Impersonation, submission of forged or altered documents, or utilizing proxy interviewers is strictly prohibited and constitutes grounds for immediate, permanent account termination and removal from the platform.
  • Badge Scope and Employer Disclaimers: The "Verified Candidate" badge indicates solely that the Candidate's government ID and biometric selfie were validated by Stripe Identity at the time of verification. The badge does not constitute a criminal background check, credit evaluation, employment eligibility verification (such as Form I-9), or character endorsement by Vetta. Employers remain solely responsible for conducting their own customary reference checks, background screenings, and employment eligibility verifications.
6. Communication and Messaging Rules

Communication between parties on the platform is strictly regulated:

  • Candidates may message an Employer only after an algorithmic match has occurred, the Candidate has been unlocked, the Candidate has been selected for an interview, and the Employer has initiated the messaging thread.
  • Messages, calendar invites, and communication records are accessible solely to the participating Candidate, the designated Employer user, and authorized Employer Admins, subject to platform compliance policies.
7. Employer Unlocks, Subscriptions, and Billing
  • Monthly Allotments: Employer subscription tiers include a fixed allotment of Unlocks per billing cycle. Unused monthly Unlocks expire at the end of each billing period unless explicitly specified otherwise in an active order form.
  • Additional Unlocks: Employers may purchase additional Unlocks on demand through the platform.
  • Non-Refundable: All Unlock purchases, subscriptions, and platform fees are non-refundable once processed. An Unlock is deemed consumed immediately upon granting access to a Candidate's non-PII resume.
  • Non-Circumvention: Employers agree not to use Blinded Profiles, redacted resumes, or platform metadata to identify, track down, or contact Candidates outside the Service to circumvent platform Unlock fees or subscription rules.
8. Absolute Non-Sale of Data and Prohibited Aggregation
  • No Data Sales or Targeted Advertising: Vetta does not sell, rent, license, trade, or share personal data, candidate resumes, contact information, or employer submissions to third parties, data brokers, or marketing networks for monetary consideration, targeted marketing, or cross-context behavioral advertising.
  • Prohibited Data Harvesting: Users and third parties are strictly prohibited from scraping, crawling, harvesting, mining, extracting, caching, or aggregating any data, profiles, job posts, or text from the Service by automated or manual means.
  • Vetta Internal Intelligence Aggregation: Vetta reserves the right to extract and aggregate de-identified, anonymized metadata (including standardized job titles, technical skills, software tools, and salary figures). Vetta uses this aggregate data internally to maintain market intelligence, build salary benchmarks, and refine platform analytics. This aggregate data contains no personal identifiers and cannot be linked back to individual users.
9. Data Security and Downstream Obligations
  • Security Safeguards: Vetta implements administrative, physical, and technical safeguards, including data encryption in transit and at rest, designed to protect candidate and employer data against unauthorized access, loss, or alteration.
  • Employer Downstream Protection: Employers receiving Blinded Profiles, unlocked resumes, or Candidate PII agree to use such data strictly for internal evaluation for bona fide open roles. Employers are expressly prohibited from reselling, exporting, compiling, or distributing candidate resumes or PII into external talent databases, applicant pools, or data broker networks.
  • Account and Data Deletion: Candidates may request account deletion at any time. Upon verified deletion, personal information, resumes, and vector embeddings are permanently removed from active matching pipelines in accordance with statutory retention schedules.
10. Vetta Access and System Moderation

Vetta personnel operate under strict access controls:

  • Normal Operations: Vetta staff do not view Candidate resumes, Candidate PII, or Employer job postings during normal operations.
  • Technical Support: Vetta personnel may access specific profile data or postings only when an authorized user grants explicit permission to troubleshoot a specific technical issue.
  • Legal and Safety Exceptions: Vetta reserves the right to access, review, and preserve data when strictly necessary to comply with applicable laws, respond to valid legal processes, enforce these Terms, investigate fraud, or protect the security and safety of users and the public.
11. Fair Credit Reporting Act (FCRA) Notice

Vetta is not a Consumer Reporting Agency as defined by the Fair Credit Reporting Act (15 U.S.C. § 1681 et seq.).

  • Platform matching data, resumes, Blinded Profiles, and communications do not constitute consumer reports.
  • Employers shall not use any data provided through the Service as a consumer report or as a factor in establishing an individual's eligibility for employment, credit, or insurance without complying with statutory FCRA verification and notice obligations independently.
  • Vetta does not perform formal background checks, credit evaluations, or criminal history screenings.
12. Acceptable Use Policy

You agree not to:

  • Circumvent, bypass, or tamper with the progressive disclosure architecture or Unlock mechanics.
  • Attempt to reverse-engineer Candidate identities from Blinded Profiles or redacted resumes.
  • Use the platform to harvest Candidate or Employer contact information for external recruitment marketing or unauthorized databases.
  • Introduce malware, automated bots, scrapers, or malicious code into the platform infrastructure.
  • Post misleading, fraudulent, discriminatory, or unlawful job listings or candidate credentials.
13. Intellectual Property

The Service, its proprietary algorithms, vector models, design assets, software architecture, and branding are the exclusive property of Vetta, Inc. and its licensors. Vetta™ is a trademark of Vetta, Inc.

By submitting information to the platform, you grant Vetta a non-exclusive, worldwide license to host, process, format, and display your content solely as necessary to operate, maintain, and deliver the Service in accordance with these Terms.

14. Termination and Suspension

Vetta may suspend or terminate your account and revoke platform access immediately, without prior notice or liability, if you violate these Terms, circumvent platform mechanics, engage in unauthorized data scraping, or compromise platform integrity. Upon termination, your right to use the Service and any remaining Unlocks ceases immediately.

15. Limitation of Liability

To the maximum extent permitted by applicable law, Vetta, Inc., its directors, employees, partners, suppliers, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or other intangible losses resulting from:

  • Your access to, use of, or inability to access or use the Service.
  • The conduct or content of any third party, Candidate, or Employer on the Service.
  • Any hiring decisions, employment agreements, or disputes arising between Candidates and Employers.
  • Unauthorized access, use, or alteration of your content.
16. Dispute Resolution, Binding Arbitration, and Governing Law
  • Governing Law: These Terms and any dispute arising out of or related to them shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.
  • Binding Arbitration: Any controversy or claim arising out of or relating to these Terms or the Service shall be settled by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction.
  • Class Action Waiver: You agree that any arbitration or proceeding shall be conducted in your individual capacity only and not as a class action or other representative proceeding.
17. Changes to Terms

Vetta reserves the right to modify these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to the new terms taking effect via platform notification or email. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
